About the role
We are seeking a corporate lawyer to join our growing legal team. Reporting directly to the General Counsel, you will help scale our corporate governance function, lead key strategic transactions (e.g., mergers and acquisitions), and partner closely with our Finance Team and senior leadership on a broad range of high-impact projects, all while building the processes and infrastructure that keep us nimble and compliant.

You should be eager to roll up your sleeves, collaborate cross-functionally, and help define how a best-in-class corporate and securities practice operates at a high-growth AI company.
At Applied Intuition, you will:
Lead equity and debt financings, liquidity events, and other capital markets activities, from initial structuring and term sheets through due diligence, documentation, and closing
Own day-to-day securities compliance for a late-stage private company, including investor updates, equity program oversight, and related disclosure and compliance processes
Manage the company’s corporate structure and global subsidiary governance, including entity formation, maintenance, regulatory compliance, and coordination with local advisors
Partner with Finance, Accounting, Tax on financial audit support, capitalization, equity compensation, and corporate compliance matters, ensuring alignment between legal requirements and operational practices
Support and oversee strategic transactions such as mergers and acquisitions, joint ventures, strategic investments, and other corporate development initiatives, including structuring, drafting, negotiation, and integration planning
Develop and continuously improve corporate and securities processes, playbooks, templates, and controls that scale with the business and enable efficient, repeatable execution
Work with outside counsel on specialized corporate, securities, tax, and cross-border matters, ensuring high-quality work product and efficient use of external resources
Collaborate with other members of the legal team on cross-functional projects, including equity-related employee communications, internal policies, and training for key stakeholders
Provide practical, concise guidance to executives and business partners, weighing legal risk against business goals and helping drive informed decision-making
We’re looking for someone who has:
6+ years of combined experience at a leading law firm and in-house at a technology or high-growth company, with a primary focus on corporate, M&A, capital markets, and/or securities matters
Deep understanding of corporate governance, transactions, and general corporate law for late-stage private or public-ready companies
Experience advising on securities and capitalization matters, such as equity plan administration, tender offers, and investor rights and communications
Demonstrated experience driving complex transactions and projects independently, including coordinating internal stakeholders and external advisors to completion
Strong drafting and negotiation skills, with attention to detail and an ability to translate complex legal concepts into clear, actionable advice
Excellent judgment, a high degree of ownership, and comfort operating in an environment of rapid growth and evolving priorities
A license to practice law in at least one U.S. jurisdiction and good standing with the relevant bar
Nice to have:
Prior in-house experience at a late-stage private company in the technology or AI sector
Experience with cross-border corporate structures and international subsidiary management
Experience supporting mergers and acquisitions and post-closing integration in a fast-paced environment
An interest in autonomous systems and AI, and enthusiasm for working closely with technical and product teams
Compensation at Applied Intuition for eligible roles includes base salary, equity, and benefits. Base salary is a single component of the total compensation package, which may also include equity in the form of options and/or restricted stock units, comprehensive health, dental, vision, life and disability insurance coverage, 401k retirement benefits with employer match, learning and wellness stipends, and paid time off. Note that benefits are subject to change and may vary based on jurisdiction of employment.
Applied Intuition pay ranges reflect the minimum and maximum intended target base salary for new hire salaries for the position. The actual base salary offered to a successful candidate will additionally be influenced by a variety of factors including experience, credentials & certifications, educational attainment, skill level requirements, interview performance, and the level and scope of the position.
