Johnson & Johnson is recruiting for a Manager, Corporate Governance to join Johnson & Johnson’s Office of the Corporate Secretary (OCS). The position will be based in New Brunswick, New Jersey.

The successful candidate will have broad responsibility for effectuating the priorities of OCS, including coordination and execution of the Company’s disclosure and reporting obligations, not limited to Environmental, Social, and Governance (ESG) reporting and sustainability initiatives, Proxy Statement, U.S. Securities and Exchange (SEC) filings and other corporate governance priorities.

The ideal candidate will have significant experience in project management, as well as experience in ESG reporting, securities filings, or an interest in learning both.

Key Responsibilities                                                              

·       Lead project management of Johnson & Johnson’s ESG reporting – foremost including the Company’s annual Health for Humanity Report – with responsibility for achieving key objectives of timeliness, quality, and accuracy.

·       Provide critical project management support to annual securities filings, including the Johnson & Johnson Proxy Statement.

·       Provide flexible project-oriented organizational support to the Office of the Corporate Secretary, including in relation to SEC filings such as Forms 10-K, 10-Q, 8-K, and Section 16 filings, along with other securities-related matters. 

·       Liaise with key internal functions across Johnson & Johnson – including Finance, Enterprise Sustainability, and Investor Relations – to ensure close collaboration and alignment between OCS and other functions.

·       Support ad hoc corporate governance projects, potentially including engagements with investors, support for the Johnson & Johnson Board of Directors, preparation for the Annual Shareholder Meeting, subsidiary governance and management, and organizational readiness for emerging ESG regulations. 

Qualifications

·       Bachelor’s Degree or equivalent.

·       Project management, ESG reporting, corporate disclosure or other relevant experience managing large, complex projects and deliverables.

·       A minimum of 8 years of professional experience.

Experience and Skills

The ideal candidate will have demonstrable experience in the oversight of large, complex projects generally and in project management specifically. Excellent communication skills – along with an enthusiasm for working in a fast-paced environment without sacrificing an attention to detail – are paramount, as is a commitment to collegiality. Specific relevant experience includes: 

·       Excellent communication and interpersonal skills and a proactive work ethic.

·       Knowledge of Microsoft Office Suite, the ability to use project management software, and experience working in Corporate Governance-related tools.

·       Working knowledge of ESG principles, methodologies, and key ESG reporting frameworks, such as Global Reporting Initiative (GRI) Standards, Sustainability Accounting Standards Board (SASB), and the Task Force on Climate-related Financial Disclosures (TCFD). 

·       Familiarity with SEC filings.

·       Experience with, or interest in learning, the key principles for reporting sustainability data and metrics.

In accordance with applicable disclosure requirements, the anticipated base pay range for this position is $97,000- $166,750. The Company maintains highly competitive, performance-based compensation programs.  Under current guidelines, this position is eligible for an annual performance bonus in accordance with the terms of the applicable plan.  The annual performance bonus is a cash bonus intended to provide an incentive to achieve annual targeted results by rewarding for individual and the corporation’s performance over a calendar/performance year.  Bonuses are awarded at the Company’s discretion on an individual basis.
